As the Senior Commercial Legal Counsel (EMEA), you will be the primary legal strategist for our EMEA operations and a pivotal leader within the legal team. This senior role demands hands-on legal expertise and the ability to drive commercial success while ensuring robust legal protection in our fastest-growing region.
You will be part of a dynamic and innovation driven legal team, composed of two Senior Legal Counsels in the US and four Legal Counsels in EMEA, reporting to the CLO who is based in Amsterdam.
You will be expected to make a significant impact in a rapidly scaling SaaS environment by:
Enabling business growth while safeguarding Bynder's interests and compliance.
Mentoring junior team members and establishing scalable legal best practices.
Leveraging legal AI technology to drive efficiency and excellence.
Key Responsibilities:
Commercial Negotiation: Expertly negotiate and draft complex SaaS commercial contracts for the Sales Team, balancing commercial needs with legal interests, with an emphasis on EMEA and Dutch law requirements.
Partnerships & Procurement: Lead negotiations for partner/reseller contracts and strategic vendor agreements to secure favorable terms and ensure compliance.
Customer Success Counsel: Provide timely, practical legal guidance and collaborative support to the Customer Success Team to enhance customer relationships.
Process Innovation: Streamline and enhance the legal team's processes, compliance framework, and best practices, proactively leveraging AI tools to boost operational effectiveness.
Team Development & Mentorship: Manage and mentor junior legal team members, fostering their professional growth to build a high-performing, scalable legal function.
Regulatory Leadership: Monitor and anticipate legal developments in the SaaS and AI sectors, ensuring proactive regulatory compliance across all EMEA jurisdictions.
General Counsel: Provide comprehensive legal counsel across various business functions and strategic initiatives as needed.
Required Qualifications:
Expertise & Experience
Law degree from a highly regarded university, qualified to practice as in-house counsel in the EMEA region.
5+ years of combined experience (law firm and in-house), with 1-2 years strongly preferred in the SaaS industry.
Core Legal Mastery: Excellent knowledge of civil, commercial, and contract law.
Data Privacy: Strong understanding of data privacy law, including GDPR across the EMEA region.
Dutch Law expertise is a significant advantage due to core Bynder operations.
Skills & Attributes
Negotiation & Communication: Native/fluent English (written and verbal) is required. Excellent drafting and negotiation skills.
Technical Proficiency: Demonstrated experience working with artificial intelligence tools to enhance legal processes and productivity.
Leadership & Judgment: Proven ability to work independently, lead initiatives, and demonstrate sound, practical business judgment.
Adaptability: Proven ability to thrive and maintain organizational excellence in a fast-paced, commercially oriented, and rapidly scaling technology company.
Autonomy: demonstrate appropriate judgment calls based on internal standards and guidelines and autonomy to turn around sensitive situations.
Bonus: Additional European language skills.
